1. Introduction

Welcome to Shree Ganesh Communication. These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Shree Ganesh Communication, including but not limited to communication services, WhatsApp Business messaging solutions, RCS (Rich Communication Services) messaging services, digital communication facilitation, customer engagement solutions, and related support services (collectively referred to as the “Services”).

By accessing, registering for, or using our Services, you agree to be legally bound by these Terms under applicable Indian laws. If you do not agree with any part of these Terms, you must refrain from using our Services.

Shree Ganesh Communication operates from Shop No-18, Majestic Memories, Hadapsar, Near Sanket Park, Momadwadi Road, Pune – 411028, Maharashtra, India.

2. Definitions

For the purposes of these Terms:

  • “Company,” “We,” “Us,” or “Our” refers to Shree Ganesh Communication.
  • “User,” “Client,” “You,” or “Your” refers to any individual, business entity, or organization using our Services.
  • “Services” means all messaging, communication, and related services offered by Shree Ganesh Communication.
  • “WhatsApp Official API” refers to Meta’s authorized WhatsApp Business Platform.
  • “RCS” refers to Rich Communication Services provided through telecom operators or Google infrastructure.
  • “Content” includes text, images, videos, templates, data, and other materials transmitted via our Services.
  • “Applicable Law” means all laws, rules, and regulations in force in India.

3. Acceptance of Terms

By registering, accessing, or using our Services, you confirm that:

  • You have read and understood these Terms.
  • You are legally competent to enter into a binding agreement under Indian Contract Act, 1872.
  • You agree to comply with all applicable laws, including Information Technology Act, 2000 and related rules.

Your continued use of the Services constitutes ongoing acceptance of these Terms.

4. Description of Services

Shree Ganesh Communication provides:

  • WhatsApp Business API messaging services
  • RCS business messaging solutions
  • Customer communication facilitation
  • Bulk messaging solutions (where legally permitted)
  • Message template registration and compliance assistance
  • Customer engagement and notification systems

We act as an authorized facilitator and do not own WhatsApp or RCS infrastructure. These platforms are owned by Meta Platforms, Inc., Google, and respective telecom operators.

5. Eligibility

To use our Services:

  • You must be at least 18 years of age.
  • If representing a company, you must have authority to bind that entity.
  • You must provide accurate and complete registration details.
  • You must comply with Meta Business Policies and telecom regulations.

We reserve the right to refuse service to any individual or entity at our discretion.

6. Account Registration

Users may be required to:

  • Provide business verification documents
  • Submit identity proofs
  • Register phone numbers for WhatsApp or RCS activation

You are responsible for maintaining confidentiality of login credentials and API access keys. Any activity conducted through your account is deemed authorized by you.

7. User Responsibilities

You agree that you will:

  • Send messages only to users who have provided valid consent (opt-in).
  • Not send spam, fraudulent, misleading, or abusive content.
  • Not promote illegal goods or services.
  • Not transmit malware, viruses, or harmful code.
  • Comply with TRAI regulations and Meta Business Messaging Policies.

Violation may result in suspension, termination, or reporting to authorities.

8. Payment & Billing Terms

  • All services are provided on prepaid or agreed billing terms.
  • Charges depend on message volume, platform fees, and applicable taxes (including GST).
  • Payments once made are non-refundable unless otherwise agreed in writing.
  • Delayed payments may result in suspension of Services.

Shree Ganesh Communication reserves the right to modify pricing with prior notice.

9. Subscription Renewal & Termination

Certain Services may operate on subscription models:

  • Subscriptions automatically renew unless canceled prior to renewal date.
  • Either party may terminate the agreement with written notice.
  • We may suspend Services immediately for policy violations.

Upon termination, outstanding dues remain payable.

10. Use of WhatsApp Official API & RCS

Users must comply with:

  • Meta WhatsApp Business Messaging Policy
  • WhatsApp Commerce Policy
  • Google RCS Business Messaging Policies
  • Telecom Regulatory Authority of India (TRAI) guidelines

Message templates must be pre-approved where required. Unauthorized promotional messaging or misuse may lead to permanent account banning by platform providers.

Shree Ganesh Communication is not liable for bans or restrictions imposed by Meta or telecom operators due to user violations.

11. Message Delivery & Compliance Policy

Message delivery depends on:

  • Network availability
  • Telecom operator infrastructure
  • End-user device compatibility
  • Platform policies

We do not guarantee 100% delivery rates. Users must maintain opt-in records for audit purposes.

12. Intellectual Property Rights

All trademarks, service marks, branding, and proprietary systems of Shree Ganesh Communication remain our exclusive property.

Users retain ownership of their own Content but grant us limited license to transmit, process, and store such Content for service provision.

13. Confidentiality

Both parties agree to maintain confidentiality of:

  • Business information
  • API credentials
  • Customer data
  • Pricing structures

Confidential information shall not be disclosed except as required by law.

14. Disclaimer of Warranties

Services are provided on an “as-is” and “as-available” basis.

We disclaim:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Continuous uninterrupted service

We do not guarantee platform uptime of Meta, Google, or telecom operators.

15. Limitation of Liability

To the maximum extent permitted by law:

  • Shree Ganesh Communication shall not be liable for indirect, incidental, or consequential damages.
  • Our total liability shall not exceed the amount paid by the User in the preceding three (3) months.

16. Indemnification

You agree to indemnify and hold harmless Shree Ganesh Communication against:

  • Claims arising from unlawful messaging
  • Regulatory penalties
  • User complaints
  • Platform policy violations

17. Governing Law (India)

These Terms shall be governed by the laws of India.

Any disputes shall be subject to exclusive jurisdiction of courts located in Pune, Maharashtra.

18. Changes to Terms

We reserve the right to update these Terms at any time. Updated versions will be published on our website with revised effective date.

Continued use constitutes acceptance of changes.
